TERMS OF USE
GLOBAL AGRIBUSINESS FESTIVAL – GAFFFF
PART A – INTRODUCTION
- ABOUT THE GAFFFF:
1.1 The GAFFFF, Global Agribusiness Festival (“Festival”), is organized by GAFFFF FESTIVAL LTDA. (“GAFFFF”), a private legal entity registered under CNPJ/MF nº 56.687.118/0001-94, headquartered at Calçada das Magnólias, nº 56, Sala 11, Centro Comercial Alphaville, Barueri/SP, ZIP CODE: 06453-000.
1.2 GAFFFF is an in-person event with an extensive program, ranging from panels with agribusiness entities, leaders, and authorities to a festival exploring the main pillars of agro culture, especially culture, gastronomy, and music.
1.3 The Festival will be open to the general public and will take place on June 05 and 06, 2025, starting at 9 AM, at Allianz Parque. Tickets must be purchased online through the website https://www.sympla.com.br/, and payment for the ticket is required.
2. ORDERING OF THESE TERMS OF USE:
2.1 By registering to participate in the Festival using our Digital Platforms, you agree to these Terms of Use and our Privacy Policy (together, “Terms”).
2.2 These Terms cover and integrate our Privacy Policy, which details the data collected, stored, shared, and generally processed by us related to the Festival. The Privacy Policy also clarifies the use and purpose of such information, as well as your legal rights.
2.3 These Terms set forth the conditions for your online registration and/or participation in the Festival. By registering to participate in the event, you acknowledge that you have read and accepted these Terms, legally committing to follow them, and you are aware that failing to comply with any rule described in these Terms will result in the immediate cancellation of your participation in the Festival, along with the application of any applicable penalties. If you do not agree with these Terms, we recommend that you do not register, attend, or participate in the Festival.
2.4 It is essential to correctly, appropriately, and fully complete the requested data at the time of registration. Any false or inaccurate information may be subject to verification and prevent your registration for the Festival.
3. REGISTRATION ON BEHALF OF ANOTHER PERSON:
3.1 If you are registering on behalf of another person, it is your responsibility to ensure that this person is aware of and agrees to these Terms. By completing and submitting the registration form, you affirm and guarantee that you have informed the person in question about these Terms and that they have accepted them.
4. MINORS INVOLVEMENT:
4.1 The Festival is not intended for participants under 18 years old (“minors”). However, minors may exceptionally be allowed to participate in the Festival, provided they adhere to the following rules:
- Minors aged 4 to 17 must purchase a ticket and be accompanied by parents and/or legal guardians holding a valid ticket at all times during the Festival;
- Minors aged 3 years or younger are admitted free of charge and must be accompanied by parents and/or legal guardians holding a valid ticket at all times during the Festival;
- Minors are strictly prohibited from consuming alcohol during the Festival. If it is discovered that a minor is consuming alcohol, the tickets of their parents and/or legal guardians will be immediately annulled, preventing them from entering/accessing/participating in the Festival;
- Minors are strictly prohibited from viewing and/or interacting with content that is not suitable for them. It is the responsibility of parents and/or legal guardians to check any age restrictions related to content shown and/or presented during the Festival;
- Minors are strictly prohibited from entering into any contracts and/or agreements with stakeholders during the Festival;
- Minors may not provide their personal data for marketing purposes to any stakeholders during the Festival.
4.2 Parents and/or legal guardians of minors must ensure that these guidelines are followed at all times during the Festival. Non-compliance will result in the immediate cancellation of the minor’s entry, as well as their parent(s) and/or legal guardian(s).
5. SUBSTITUTION OF THESE TERMS OF USE:
5.1 These Terms are valid for you from the date of their disclosure until they are replaced by an updated version. We reserve the right to update them at any time for legal, administrative reasons, or to reflect changes in our services or business practices. Any changes to the Terms will be disclosed on our website.
PART B – GENERAL TERMS
6. ADMISSION OR EXPULSION FROM THE FESTIVAL:
6.1 Participants over 18 years old are generally permitted to participate in the Festival. However, we reserve the right, at our sole discretion and without any liability or obligation for reimbursement, to deny entry or expel anyone from the Festival who:
- Is behaving in a manner that may disrupt, hinder, or inconvenience the Festival or the entertainment of any other person or partner present at the Festival;
- Represents a security or health risk to the Festival or any participant or partner; and/or fails to comply with these Terms.
7. FESTIVAL, PARTICIPANTS, AND ASSOCIATED ACTIVITIES:
7.1 By purchasing a ticket, you are entitled to participate in the Festival on the specific date for which your ticket is valid. We, at our sole discretion and without any liability, reserve the right to reschedule, postpone, or cancel the Festival as described in the section below.
7.2 Our Festival aims to bring together agribusiness authorities from different countries, as well as entrepreneurs, leaders, and entities from the sector, in order to reinforce the importance of agribusiness in the Brazilian and international economic landscape.
7.3 During the Festival, in addition to the panels where specialists will discuss the direction of the sector and its main challenges, especially regarding climate change, resource preservation, and sustainable solutions for a growing population, you will also have access to other initiatives, including, but not limited to:
- Forum: Three stages with simultaneous lectures held on the Allianz Parque lawn. Participation is open to all Festival attendees.
- Fair: The Allianz Parque lawn will host a large fair with startups and other major players presenting their innovations in sectors like Finance, AgTechs, Artisan Producers, Business Fair, Government, etc.
- Fun: Pocket shows throughout the day, DJs, and performances by major stars of Brazilian country music to close out the Festival nights.
- Food: At the Arena de Fogo, a fire-side experience led by Chef Marcos Livi, along with professional roasters, where artisanal products and authentic Brazilian BBQ will also be available.
8. SUBSTITUTIONS, CHANGES, POSTPONEMENTS OR CANCELLATIONS:
8.1 We do our best to ensure the accuracy of the program, speakers, artists, locations, and dates of the Festival at the time of disclosure. However, we reserve the right to make substitutions, changes, postponements, or cancellations regarding the content, format, themes, participants, location, time, or dates of the event. These changes may occur at any time, and we are not liable for any costs incurred by you as a result (such as travel and accommodation expense.
8.2 We will do our best to notify you as soon as we become aware of such substitutions, postponements, or changes, by updating the Festival website. Significant changes will be communicated via email.
8.3 If the Festival is postponed, you will receive a substitute ticket for the new date, with no right to a refund.
8.4 In the unlikely event of the Festival’s cancellation, our total responsibility to you is limited to a refund of the ticket amount paid, excluding credit card fees and/or payment processing fees. We are not responsible for any expenses, damages, or losses incurred by you as a result of the cancellation (including travel and accommodation costs).
9. PHOTOGRAPHY, AUDIO, OR VIDEO RECORDINGS:
9.1 The use of photographic, audio, video equipment, or any other type of recording at the Festival is expressly prohibited, subject to a non-compensatory fine of R$ 100,000.00 (one hundred thousand reais), in addition to compensation for any losses and damages resulting from improper recordings and the civil and/or criminal liability of the offender, as provided by Law 9.160/1998, as well as Articles 186 and 927 of the Civil Code, and Article 184 of the Penal Code, unless previously authorized by us in writing.
9.2 By participating in the Festival, you acknowledge and agree that your image and/or voice may be recorded by us or our partners. You agree to allow us or any third party licensed by us to use, distribute, broadcast, or otherwise disseminate globally your image, name, title, company name, voice, and words in television, radio, films, newspapers, magazines, and other media available now or developed later, before, during, and after the Festival, in any format, without the need for further approval from you or any payment to you. This authorization includes, but is not limited to, the right to edit the media, use it alone or in conjunction with other information, and allow others to use or distribute it.
10. PARTICIPATION IN THE FESTIVAL:
10.1 It is your responsibility to inform us, at the time of reservation and registration, of any special access needs you may have during the Festival.
10.2 It is your responsibility to ensure that you have adequate insurance coverage for your participation or involvement in the Festival. We and our affiliated companies are not responsible for any injuries or damages to persons or property, regardless of the cause (except in cases of death or personal injury resulting from our negligence or other liabilities that cannot be excluded or limited by law).
10.3 During the Festival, you are expected to behave appropriately and not disturb other participants. Any business or promotional activity that we deem unacceptable may result in your removal from the venue, if it violates applicable laws, our policies, procedures, or those of the venue, or causes offense, annoyance, or any inappropriate behavior that does not comply with these Terms.
11. REFUND AND CANCELLATION:
11.1 Your ticket remains our property and is a revocable personal license, which can be revoked. Admission to the Festival may be refused at any time upon refunding the printed ticket price.
11.2 In the event of a ticket purchase cancellation within the refund period, the refund will be made in the same manner the original payment was received (e.g., a credit card payment will be refunded to the same credit card account number). Ticket purchases for the Festival are non-refundable after the end of the refund period specified at the time of purchase.
12. TICKET RESALE:
12.1 Tickets purchased are strictly for your personal use and/or your company’s use and cannot be resold under any circumstances. This applies even to subsidized tickets.
12.2 Any resale or transfer of the ticket not in accordance with these Terms will result in the invalidation of the ticket, and the holder will not be granted access to the Festival. If we detect any resale or attempted resale of tickets (or any other violation of this Term), we reserve the right to cancel the ticket immediately.
12.3 We retain the right to cancel any ticket purchase made by any individual or entity that we reasonably believe to be associated with ticket resale or the secondary ticket market.
13. ONLINE SURVEYS:
13.1 To improve our services and add value to your experience, we may ask you to participate in optional online surveys regarding the Festival and related initiatives. If you choose to participate, your personal data will be handled according to our Privacy Policy.
14. INTELLECTUAL PROPERTY:
14.1 All intellectual property rights related to the Festival, its content, and all materials distributed during or in connection with the event are owned by us, our affiliated companies, and/or the sponsors or speakers present. You are not authorized to reproduce trademarks or materials distributed by us during the Festival without our prior written permission.
14.2 These Terms do not grant you any legal rights or benefits over any intellectual property rights owned or licensed by us or our affiliated companies. You do not receive any rights or license to any other intellectual property rights of ours or our affiliated companies. All intellectual property rights remain solely with us.
14.3 It is strictly prohibited for any company, organization, or individual to attempt to host or organize events relating to the Festival or our affiliated companies without our express prior permission and/or cooperation. We reserve the right to take legal or other measures, including claims for damages, that we deem appropriate to the circumstances, at our sole discretion.
15. LIMITATION OF LIABILITY:
15.1 You acknowledge and agree that the opinions expressed by the speakers at the Festival or in connection with it are their sole responsibility, and the Global Agribusiness Festival is not responsible or liable for any advice given or opinions expressed during or in connection with the Festival.
15.2 The materials shared or distributed during or in connection with the Festival are intended for informational purposes only. We and our affiliated companies make no warranties or conditions and accept no responsibility for such materials and/or any aspect and information provided at the Festival.
15.3 To the extent permitted by applicable law:
(a) The Global Agribusiness Festival will not be liable to you in contract, tort, misrepresentation, restitution, or otherwise for any loss of profits; loss of sales or business; loss of agreements or contracts; loss of anticipated savings; loss of income; loss of opportunity; loss or damage to goodwill; loss of use or corruption of software, data, or information; and/or similar or pure economic losses, or for any indirect or consequential loss, cost, damage, charge, or expense arising from or in connection with the performance of these Terms, even if we have been advised of the possibility of the same in advance; and
(b) subject to paragraph (c) below, our total aggregate liability in contract, tort, misrepresentation, restitution, or otherwise, arising from or in connection with the performance of these Terms is limited to the total amount paid by you for your ticket to attend and access the Festival, after payment of any applicable processing fees or bank charges.
(c) nothing in these Terms is intended to exclude or limit liability for fraudulent misrepresentation, or in relation to any liability that cannot be excluded or limited under applicable law.
15.4 The Global Agribusiness Festival makes no guarantee regarding the Festival in general and particularly with regard to (i) the presence, absence, or location of any sponsor/exhibitor or potential sponsor/exhibitor; or (ii) the benefit or result (commercial or otherwise) you may achieve as a result of attending or sponsoring the Festival. In particular, it should be noted that
(a) personal arrangements and expenses, including travel, accommodation, hospitality, and other costs and expenses incurred and organized by you in relation to the Festival, are entirely at your own risk and expense. We will not be liable to you for any costs or expenses, whether recoverable or not, in relation to such personal arrangements, even if caused by the cancellation, rescheduling, or alteration of the Festival;
(b) we will not be liable to you for any loss of enjoyment or convenience, including if the Festival is canceled, rescheduled, or altered; and
(c) we will not be liable to you (and you will not be entitled to any refund) if admission to any venue or event is refused or revoked at any time due to your violation of these Terms.
15.5 We are not responsible for the actions or failures of any venue, artist, or other Festival sponsors. Under no circumstances will we be liable for death or personal injury suffered by you or your guests arising from participation in the Festival, unless caused by our negligence. We will also not be liable for any loss or damage to your property or belongings, or any of your guests participating in the Festival.
16. INDEMNIFICATION:
16.1 You agree to defend, indemnify, and hold the Global Agribusiness Festival harmless from all claims, liabilities, damages, losses, costs, and expenses, including legal fees, arising out of or in connection with any breach of these Terms by you or any other liabilities incurred by the Global Agribusiness Festival as a result of your participation or access to the Festival.
17. FORCE MAJEURE OR UNFORESEEABLE CIRCUMSTANCES:
17.1 The Festival may suffer interruptions due to (a) power or server issues (b) periods of updates or maintenance (c) war(s), flood, drought, earthquake, or other natural disasters; (d) epidemic or pandemic; (e) terrorist attack, civil war, civil unrest, or riots, threat(s) or preparation for war, armed conflict, imposition of sanctions, embargo(s), or break in diplomatic relations; (f) nuclear, chemical, or biological contamination, or sonic explosion; (g) any law or action taken by a government or public authority; (h) building collapse, fire, explosion, or accident; (i) any labor or commercial dispute, strikes, industrial actions, or blockades; (j) default by suppliers or subcontractors; (k) interruption or failure of public utility services and/or (l) electronic or communication failure. We will make reasonable efforts to provide you with notice of any interruption to the Festival. If the Festival is unavailable for reasons beyond our control, we will not be liable to you.
17.2 We will not be responsible if the Festival is, in whole or in part, canceled, rescheduled, or delayed, or for any failure or delay in fulfilling our obligations under these Terms, if such event results from something beyond our reasonable control (such as the reasons mentioned in clause 17.1 above; or anything else that makes holding the Festival, in whole or in part, impracticable, illegal, or impossible).
18. APPLICABLE LAW AND JURISDICTION:
18.1 The interpretation, formation, and operation of these Terms and all non-contractual obligations arising or related to them will be governed and interpreted according to the laws of Brazil. Likewise, all disputes between the parties arising out of or in any way related to these Terms (whether contractual or non-contractual) will be governed by the laws of Brazil.
18.2 Nothing in these Terms limits our right to initiate enforcement actions in another jurisdiction or to seek interim or protective measures in the courts of another jurisdiction.
19. OTHER TERMS:
19.1 These Terms (including our Privacy Policy) contain the entire agreement and understanding between us regarding all matters mentioned here and supersede any prior written or oral agreements between us concerning such matters. You confirm that, by accepting these Terms, you have not relied on any representation that is not expressly included here and agree that you will not have any rights regarding any false representation that forms part of these Terms. However, nothing in these Terms is intended to exclude liability for fraudulent misrepresentation.
19.2 If we do not insist and/or take action for you to fulfill any of your obligations under these Terms, or if we delay taking action to exercise a right or remedy provided by these Terms, it does not mean that we waive our rights or remedies against you, nor does it mean that you do not have to fulfill your obligations.
19.3 These Terms are personal to you. You agree not to assign or transfer your rights or obligations under these Terms to anyone without our prior written consent. We may assign or transfer these Terms without your consent, with notice.
19.4 You acknowledge and agree that no agency, partnership, joint venture, or employment relationship is created as a result of these Terms, and you have no authority of any kind to bind us in any way.
19.5 If you are a consumer, nothing in these Terms excludes any of your applicable consumer rights or other statutory legal rights that cannot be waived.
PART C – PARTICIPANT TERMS
20. TICKETS AND PRICES:
20.1 We reserve the right to change ticket prices at any time, but any changes will not affect tickets already purchased.
20.2 A valid ticket grants you entry to the relevant Festival as a participant, but does not include any requirements or costs associated with travel to or from the Festival, nor any accommodation costs incurred. We will have no liability for such costs or expenses.
21. TICKET DELIVERY:
21.1 Once a successful ticket purchase is completed, the tickets will be delivered in electronic copy via email to the email address provided by the purchasing participant. To enable the issuance of certain types of tickets, the purchasing participant may be asked to provide necessary information, such as name and/or tax identification number.
22. DISCOUNTS:
22.1 We may, from time to time, offer certain promotions and/or discounts to encourage the purchase of Festival tickets. We are not obligated to offer discounts for the Festival and reserve the right to alter or cancel any offer or discount at any time at our sole discretion. Tickets already purchased will not be affected.
23. SERVICE/ASSISTANCE ANIMALS:
23.1 Animals are not permitted at the Festival, except for service/assistance animals. Service/assistance animals are individually trained animals to work or perform tasks for the benefit of a person with a disability (“PWD”).
PART D – EXHIBITOR TERMS
24. EXHIBITORS:
24.1 We offer space(s) (“Space”) at our Festival to Exhibitors who wish to occupy such space and operate a booth to display certain goods or services to participants (an “Exhibition”) at agreed-upon times, subject to these Terms and the contractual agreement entered into between the Exhibitor and the Global Agribusiness Festival.
24.2 The Exhibitor is only authorized to conduct an Exhibition in the Space assigned to them and must not solicit, promote, advertise, or conduct business in any other area of the Festival without our express, prior, written consent.
24.3 The Exhibitor is prohibited from subletting the Space without our express, prior, written consent. If and to the extent that the Exhibitor is permitted to sublet the Space, the Exhibitor will remain responsible for the Space and will be liable for any breach of these Terms by any party to whom the Space is sublet.
24.4 The Exhibitor must not solicit, promote, advertise, or conduct business on behalf of third parties unrelated to the Exhibition without our express, prior, written consent.
24.5 The Exhibitor’s operation of the Exhibition at the Festival will be conducted in full compliance with these Terms.
25. EXHIBITION LOCATION:
25.1 We reserve the right, at our sole discretion, to relocate Exhibitions and/or require the Exhibitor to occupy an alternative Exhibition within the designated Festival venue if we deem such an adjustment necessary for the best interests of the Festival or as required for safety, health, security, or other reasons.
26. MAINTENANCE STANDARD:
26.1 The Exhibitor must maintain the interior, exterior, fixtures, and equipment installed at the Exhibition clean, organized, sanitized, and in good condition.
27. WASTE:
27.1 The Exhibitor is responsible for the disposal of all waste and debris, as well as for removing all trash generated from the site. If necessary, the Exhibitor must provide trash bins for use at the Festival, which must be removed from the site at the end of each day. The Exhibitor is also responsible for the periodic cleaning of the tables and floors in their exhibition area and surrounding spaces.
28. ACCESS:
28.1 We allow the Exhibitor to operate the Exhibition during the periodically communicated hours. The Exhibitor must ensure, to our full satisfaction, that all Exhibitions and waste are completely dismantled and removed from the venue each day of the Festival. The Exhibitor does not have the right to allow anyone, other than their personnel or those with whom they have business, access to the Exhibition area.
29. HEALTH AND SAFETY:
29.1 An Exhibitor selling food and beverages must ensure and demonstrate that they are registered with local authorities that govern food safety standards and that they are in full compliance with relevant laws, safety standards, and regulations at all times. The Exhibitor must possess and display a valid license showing such registration at their Exhibition.
29.2 All kitchen and heating equipment must meet appropriate safety standards according to local regulations and laws. The Exhibitor must ensure that any external gas units are properly housed at all times. These units must be kept away from public access. The Exhibitor must ensure that their Exhibition is equipped with an adequate number, size, and type of fire extinguishers, which must be properly charged.
30. SAFETY INSTRUCTIONS:
30.1 The Exhibitor must observe, comply with, and ensure that the staff involved in the Exhibition observe and comply with all instructions given by or on our behalf, or by the venue management. They must also comply with and enforce the rules and regulations of the Global Agribusiness Festival and the venue management, as communicated from time to time. The Exhibitor must not damage or allow their staff to damage the venue hosting the Festival, the Exhibition, or any part of it. All Exhibitor personnel present at the venue must wear identification badges at all times and must not enter restricted areas.
31. EQUIPMENT PROVIDED BY THE GLOBAL AGRIBUSINESS FESTIVAL:
31.1 The Exhibitor shall bear any costs for damages or losses to the equipment provided to them. The equipment must be insured by the Exhibitor, who will remain responsible until our authorized personnel retrieve the equipment. In case of non-return, the Exhibitor will be required to reimburse us for the total cost of the equipment at the original insured value.
31.2 Nothing in these Terms creates or is intended to create a landlord-tenant relationship between us and the Exhibitor, nor should these Terms be interpreted as transferring any property rights to the Exhibitor, or any greater interest in the Festival on behalf of the Exhibitor.
32. LEAD SCANNING FUNCTIONALITY:
32.1 Organizations, including but not limited to partners, startups, investors, among others, have the option to activate the Lead Scanning Functionality for their ticket holders. This functionality allows them to give ticket holders the opportunity to collect direct marketing consent on their behalf by scanning the Festival participants’ badges through the Organization’s profile.
32.2 This functionality is disabled by default. It can be activated by the Organization through the ticket dashboard. The functionality may be activated for some or all ticket holders, in accordance with these Terms.
32.3 Organizations may only activate this functionality if the ticket holder is their direct employee and/or formal representative, with established contractual obligations, particularly regarding confidentiality and data protection compliance.
32.4 Organizations are strictly prohibited from activating this functionality for external guests and/or ticket holders who do not have a documented contractual relationship with the Organization.
32.5 The Global Agribusiness Festival reserves the right to terminate contracts and/or packages with any Organization that has violated these Terms. In such circumstances, we may terminate immediately, at any time, by giving written notice to the respective Organization. We will not be obligated to refund any fees received from the Organization and will have no further obligation to the Organization.
32.6 The Organization that has violated these Terms and/or any applicable legislation (particularly regarding data protection) will reimburse us (where applicable) and indemnify us in full from any losses or damages arising from such violation, whether committed by action or omission, regardless of fault.
